1. Agreement to Terms

By accessing or using Packguard's services, website, and software applications (collectively, the "Services"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access or use our Services.

These Terms constitute a legally binding agreement between you and Packguard Technologies Ltd. ("Packguard," "we," "us," or "our") governing your use of our product authentication and verification platform.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be barred from using our Services under applicable law
• Provide accurate and complete registration information
• Maintain the security of your account credentials

3. Account Registration

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Subscription and Payments

Some parts of our Services are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis (monthly or annually). Billing cycles are set according to your selected plan.

We accept various payment methods. By providing a payment method, you represent that you are authorized to use the designated payment method and authorize us to charge your payment method for the subscription amount.

All fees are exclusive of taxes. You are responsible for all taxes associated with your subscription.

5. QR Code Usage and Limitations

Each QR code generated through our platform is unique and intended for single-product authentication. You agree to:

• Use QR codes only for their intended authentication purpose
• Not replicate, copy, or redistribute QR codes without authorization
• Ensure QR codes are placed on authentic products only
• Comply with scan limits configured for your products

6. Intellectual Property Rights

The Services and their original content, features, and functionality are owned by Packguard Technologies Ltd. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Packguard. You may not use such marks without our prior written permission.

7. User Data and Analytics

We collect and analyze scan data to provide you with insights and improve our Services. You retain all rights to your product data, but you grant us a license to use anonymized aggregate data for service improvement.

Scan data, including geolocation and device information, is collected to detect counterfeit patterns and provide analytics. We do not sell personal consumer data.

8. Prohibited Activities

You may not use our Services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Distribute counterfeit or unauthorized products
• Manipulate scan data or verification results
• Attempt to bypass security measures
• Use automated systems to generate excessive scans
• Impersonate any person or entity

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

10. Limitation of Liability

In no event shall Packguard, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Services
• Any conduct or content of any third party
• Unauthorized access or alteration of your data
• Statements or conduct of any third party

11. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Packguard makes no representations or warranties of any kind, express or implied, regarding the operation or availability of the Services.

We do not warrant that the Services will be uninterrupted, secure, or error-free. We are not responsible for the accuracy, reliability, or completeness of any information provided through the Services.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively by the courts of Nigeria.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
